General terms and conditions of sale
This English version is a translation provided for information purposes only; in the event of any discrepancy, the French version (conditions générales de vente) shall prevail. These general terms and conditions of sale (the “Terms”) govern the sale of Ambelys wood pellet stoves by Schulhof Energies to consumers and non-professional customers and, subject to the specific provisions of Article 15, to business customers. They are made available on the website https://poeles-granules-schulhof.fr/ (the “Website”) and are provided to the customer with each quotation, on a durable medium, before the contract is concluded.
Updated : 13 October 2026
Article 1 – Seller
The seller is Schulhof Energies (the “Seller”), [Forme juridique et capital social – à compléter], whose registered office is at 101 Chemin des Serres, 04700 Puimichel, France, registered with the Trade and Companies Register of Manosque under number B 920 558 079, EU VAT number FR53920558079 [à vérifier].
The Seller can be contacted by telephone on +33 6 16 25 23 74, by email at christian.schulhof@gmail.com or by post at its registered office.
Article 2 – Scope and definitions
These Terms apply to all sales of Ambelys pellet stoves and their accessories concluded between the Seller and a customer (the “Customer”). They prevail over any other document, except for special conditions accepted in writing by the Seller and set out in the quotation.
For the purposes of these Terms, a “Consumer” is any natural person acting for purposes outside their trade, business, craft, profession or agricultural activity; a “Business Customer” is any natural or legal person acting for purposes relating to their business, including an installer or reseller. The protective provisions of the French Consumer Code apply only to Consumers and, where the law so provides, to non-professionals.
The applicable version of the Terms is the one in force on the date on which the Customer accepts the quotation. The Customer acknowledges having read and accepted the Terms before the contract was concluded.
Article 3 – Products
The Ambelys stove is offered in three shapes (round, octagonal, square) and three finishes (black, white, burgundy). Its main characteristics, within the meaning of Article L. 111-1 of the French Consumer Code, are set out on the Website, in the quotation and in the technical manual supplied with the product.
The images, photographs and 3D renderings in the configurator are as faithful as possible but are not contractually binding, in particular as regards the exact rendering of colours, which may vary depending on the screen used.
The stove must be fuelled exclusively with wood pellets complying with ISO 17225-2 and installed in accordance with the manufacturer's instructions, good practice and applicable regulations.
Availability of spare parts: in accordance with Article L. 111-4 of the French Consumer Code, spare parts essential for the use of the stove are available for [durée de disponibilité des pièces détachées – à compléter] from [date de référence – à compléter].
Article 4 – Configurator, quotation and formation of the contract
The online configurator allows the Customer to choose the shape and finish of the stove and to generate an indicative quotation in PDF format. This document is produced in the Customer's browser; it is not a firm offer and is not binding on either party.
The Customer may send a quotation request using the form on the Website. The Seller will then contact the Customer to confirm their requirements and will send a final quotation on a durable medium, stating in particular the products ordered, the total price including taxes, delivery charges, payment terms, the delivery date or period, the validity period of the quotation and the existence and conditions of exercise of the right of withdrawal.
The contract of sale is formed when the Customer has accepted and signed the final quotation and returned it to the Seller within its validity period [procédure de commande et de signature – à définir : signature manuscrite, signature électronique, paiement de l'acompte]. The Seller sends the Customer a confirmation of the order on a durable medium, in accordance with Article L. 221-13 of the French Consumer Code.
Where the contract is concluded off-premises, in particular during an appointment at the Customer's home, the specific rules of Articles L. 221-8 to L. 221-10 of the French Consumer Code apply, in particular the prohibition on receiving any payment before the expiry of a period of seven days from the conclusion of the contract, save for statutory exceptions [à faire valider selon le processus de vente retenu].
The Seller reserves the right to refuse an order for a legitimate reason, in particular in the event of a previous payment dispute or where installation is found to be technically impossible.
Article 5 – Prices
Prices shown on the Website are expressed in euros including VAT, at the French standard rate of 20%; the amount excluding VAT is given for information. They apply to delivery in mainland France, excluding delivery charges. The applicable price is the price including VAT stated in the accepted quotation.
The stove is sold without installation: the Seller does not offer flue installation or connection. The standard VAT rate in force (20% at the date hereof) therefore applies [à vérifier].
The supply of the stove does not include installation, connection to the flue and to the electrical supply, or the supply of the flue and connection accessories. The Customer entrusts these services to a qualified professional of their choice, who carries them out under their own responsibility, in accordance with the manufacturer's instructions and applicable regulations.
Delivery charges are stated in the quotation [frais de livraison – à compléter]. Any change in the legally applicable VAT rate will be reflected in the price including VAT from its effective date for orders not yet invoiced.
Any eligibility for public energy renovation grants depends on conditions specific to each scheme and to each Customer; it is not guaranteed by the Seller and is not a condition of the contract, unless expressly stipulated in the quotation.
Article 6 – Payment terms
In the event of late payment by a Consumer, the Seller may, after a formal notice that has remained unanswered, suspend delivery and claim interest at the statutory rate, in accordance with Article 1231-6 of the French Civil Code.
Article 7 – Retention of title
The Seller retains ownership of the products sold until full payment of the price, including principal and ancillary amounts, in accordance with Articles 2367 et seq. of the French Civil Code. This clause does not prevent the transfer of risk provided for in Article 9.
Article 8 – Delivery
Products are delivered to the address given by the Customer in the quotation, within the following areas: [Zones de livraison – à compléter]. The delivery date or period is stated in the quotation: [Délais de livraison – à compléter]. Failing this, the Seller shall deliver the goods no later than thirty days after the conclusion of the contract, in accordance with Article L. 216-1 of the French Consumer Code.
Given the weight of the stove (approximately 130 kg), the Customer shall ensure that access to the place of delivery allows the product to be handled. Delivery conditions (kerbside, into the installation room, appointment) are specified in the quotation [conditions de livraison – à compléter].
If the Seller fails to deliver on the agreed date or within the agreed period, the Consumer may, after having unsuccessfully requested the Seller to deliver within a reasonable additional period, terminate the contract by registered letter with acknowledgement of receipt or in writing on another durable medium, under the conditions of Articles L. 216-6 to L. 216-8 of the French Consumer Code. The sums paid shall then be refunded no later than fourteen days after the date of termination.
The Customer is invited to check the apparent condition of the package and product on delivery and to record any specific reservations on the delivery note; these checks do not deprive the Consumer of their rights under the legal guarantees.
Article 9 – Transfer of risk
In accordance with Article L. 216-4 of the French Consumer Code, the risk of loss of or damage to the products passes to the Consumer when the Consumer, or a third party designated by the Consumer other than the carrier proposed by the Seller, takes physical possession of them. Where the Consumer entrusts delivery to a carrier other than the one proposed by the Seller, the risk passes to the Consumer when the goods are handed over to that carrier.
The rules applicable to Business Customers are set out in Article 15.
Article 10 – Right of withdrawal (Consumers)
Where the contract is concluded at a distance or off-premises, the Consumer has fourteen days to exercise the right of withdrawal, without giving any reason and without bearing any costs other than those provided for in Articles L. 221-23 to L. 221-25 of the French Consumer Code. For a contract for the sale of goods, this period runs from the receipt of the goods by the Consumer or by a third party designated by the Consumer, other than the carrier; the Consumer may, however, exercise this right as soon as the contract is concluded. Where the period expires on a Saturday, Sunday or public holiday, it is extended until the next working day.
To exercise this right, the Consumer must notify the Seller of their decision before the period expires, using the withdrawal form set out in the annex or any other unequivocal statement, sent by post to Schulhof Energies, 101 Chemin des Serres, 04700 Puimichel, France, or by email to christian.schulhof@gmail.com. Where withdrawal is notified electronically, the Seller acknowledges receipt without delay on a durable medium.
The Consumer shall return or hand back the goods to the Seller without undue delay and no later than fourteen days after communicating their decision. As the goods cannot normally be returned by post because of their nature and weight, [Frais de retour – à compléter : soit le Vendeur organise la reprise à ses frais, soit les frais de retour sont à la charge du Consommateur, pour un coût estimé à … €]. The Consumer is liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
The Seller shall refund all sums paid, including the initial delivery costs (except for any supplementary costs resulting from the Consumer's choice of a type of delivery more expensive than the standard delivery offered), no later than fourteen days from the date on which it is informed of the decision to withdraw. The Seller may withhold the refund until it has received the goods back or until the Consumer has supplied evidence of having sent them, whichever is earlier. The refund is made using the same means of payment as used for the initial transaction, unless the Consumer expressly agrees otherwise and at no cost to the Consumer.
Installation started during the withdrawal period [à faire valider]: if the Consumer wishes the installation service performed by the Seller to begin before the end of the withdrawal period, the Consumer must expressly request this on a durable medium. In the event of withdrawal, the Consumer shall then pay an amount corresponding to the service provided until the decision to withdraw was communicated, in proportion to the total price of the service, in accordance with Article L. 221-25 of the French Consumer Code. The right of withdrawal can no longer be exercised for a service fully performed before the end of the withdrawal period where performance began with the Consumer's prior express consent and express waiver of the right of withdrawal (Article L. 221-28, 1°). Any diminished value of the stove resulting from its installation may be charged to the Consumer under the conditions of Article L. 221-23. Where installation is entrusted to a partner installer, it is the subject of a separate contract governed by that installer's own terms [à préciser].
The right of withdrawal does not apply to contracts concluded on the Seller's premises without prior solicitation, nor to contracts concluded with Business Customers, subject to Article L. 221-3 of the French Consumer Code.
Article 11 – Legal guarantees (Consumers)
The Seller is bound by the legal guarantee of conformity provided for in Articles L. 217-3 et seq. of the French Consumer Code and by the guarantee against hidden defects provided for in Articles 1641 to 1649 of the French Civil Code. As the Ambelys stove includes digital elements (mobile app, Wi-Fi, remote maintenance), the provisions relating to goods with digital elements apply to it. In accordance with Article D. 211-2 of the French Consumer Code, the following text is reproduced (translation of the statutory French text) [à vérifier : version de l'encadré applicable aux biens comportant des éléments numériques, annexe à l'article D. 211-2]:
The consumer has a period of two years from delivery of the goods to obtain the implementation of the legal guarantee of conformity in the event of a lack of conformity. During this period, the consumer only needs to establish the existence of the lack of conformity and not the date on which it appeared.
Where the contract of sale provides for the continuous supply of digital content or a digital service over a period of more than two years, the legal guarantee applies to that digital content or digital service throughout the planned supply period. During this period, the consumer only needs to establish the existence of the lack of conformity affecting the digital content or digital service and not the date on which it appeared.
The legal guarantee of conformity obliges the trader, where applicable, to supply all updates necessary to keep the goods in conformity.
The legal guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days of the request, free of charge and without major inconvenience.
If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.
If the consumer requests repair of the goods but the seller imposes replacement, the legal guarantee of conformity is renewed for a period of two years from the date of replacement of the goods.
The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and obtain a full refund upon return of the goods, if: 1° the trader refuses to repair or replace the goods; 2° the repair or replacement takes place after a period of thirty days; 3° the repair or replacement causes major inconvenience to the consumer, in particular where the consumer definitively bears the costs of taking back or removing the non-conforming goods, or bears the costs of installing the repaired or replacement goods; 4° the lack of conformity persists despite the seller's unsuccessful attempt to bring the goods into conformity.
The consumer is also entitled to a price reduction or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination. The consumer is then not required to request repair or replacement of the goods first.
The consumer is not entitled to terminate the sale if the lack of conformity is minor.
Any period during which the goods are out of use for repair or replacement suspends the remaining guarantee period until the repaired goods are delivered.
The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.
A seller who obstructs in bad faith the implementation of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).
The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept, or to a full refund upon return of the goods.
Article 1641 of the French Civil Code: “The seller is bound by a warranty against hidden defects in the thing sold which make it unfit for its intended use, or which so impair that use that the buyer would not have acquired it, or would have paid a lower price for it, had he known of them.” Article 1648, first paragraph, of the French Civil Code: “An action arising from redhibitory defects must be brought by the buyer within two years of discovering the defect.”
To make a claim under these guarantees, the Consumer should contact the Seller using the details given in Article 1.
Article 12 – Manufacturer's commercial warranty
Independently of the legal guarantees, which continue to apply, Schulhof Energies, 101 Chemin des Serres, 04700 Puimichel, France, grants at no extra cost a commercial warranty of 15 years on the heat exchanger (firebox body), 10 years on the structure and 3 years on the electronics.
This warranty runs from [point de départ de la garantie – à compléter : date de livraison ou de mise en service]. It covers [étendue de la garantie – à compléter : réparation ou remplacement des pièces, main-d'œuvre, déplacement] and applies in the following territory: [territoire couvert – à compléter].
Its conditions and exclusions are set out in the warranty certificate supplied with the product, which prevails as to their details. It is subject in particular to the following conditions [conditions de garantie – à préciser]: exclusive use of wood pellets complying with ISO 17225-2; installation and connection of the stove by a qualified professional in accordance with the manufacturer's instructions, good practice and regulations in force; annual servicing of the stove by a qualified professional and statutory sweeping of the flue, evidenced by a certificate [à préciser]. Excluded in particular are wear parts [liste des pièces d'usure – à préciser] and damage resulting from use not in accordance with the manual.
To make a claim under the commercial warranty, the Customer should contact the Seller using the details given in Article 1, stating the serial number of the stove and enclosing the invoice [procédure de mise en œuvre – à préciser].
In accordance with Article L. 217-22 of the French Consumer Code, the commercial warranty does not deprive the Consumer of the legal guarantees of conformity and against hidden defects reproduced in Article 11, which apply independently of it. Any period of at least seven days during which the goods are out of use for repairs covered by the commercial warranty is added to the remaining warranty period (Article L. 217-28).
Article 13 – Liability
The Seller is liable as of right to the Consumer for the proper performance of the obligations arising from the contract, in accordance with Article L. 221-15 of the French Consumer Code. It may, however, be released from all or part of its liability by proving that the non-performance or improper performance of the contract is attributable either to the Customer, to the unforeseeable and insurmountable act of a third party to the contract, or to force majeure within the meaning of Article 1218 of the French Civil Code.
The Seller is not liable for damage resulting from installation, connection or servicing not carried out by the Seller and not complying with the manufacturer's instructions or regulations, from the use of non-compliant fuel or from abnormal use of the product, without prejudice to the legal guarantees owed to the Consumer.
Nothing in these Terms limits the Seller's liability to a Consumer for personal injury or for gross negligence or wilful misconduct.
Article 14 – Personal data
The Customer's personal data are processed by Schulhof Energies, as controller, for the management of quotation requests, orders, delivery, warranties and customer relations, in accordance with Regulation (EU) 2016/679 (GDPR) and amended French Law No. 78-17 of 6 January 1978. Details of this processing and of the Customer's rights are set out in the privacy policy available on the Website.
A Consumer who does not wish to receive telephone marketing may register free of charge on the Bloctel opt-out list (www.bloctel.gouv.fr), in accordance with Article L. 223-1 of the French Consumer Code [à vérifier : régime du consentement préalable au démarchage téléphonique issu de la loi n° 2025-594 du 30 juin 2025].
Article 15 – Specific provisions for business customers
The provisions of this Article apply to sales concluded with Business Customers and, as regards them, prevail over the other Articles of these Terms. The provisions of the French Consumer Code reserved for consumers, in particular the right of withdrawal and the legal guarantee of conformity under Articles L. 217-3 et seq., do not apply to them.

No discount is granted for early payment unless otherwise agreed.
Delivery and transfer of risk: risk passes to the Business Customer when the products are handed over to the carrier or, in the case of collection, when they are made available [à faire valider : incoterm ou règle retenue]. The Business Customer must inspect the products on receipt and, where appropriate, exercise its recourse against the carrier within the three-day period provided for in Article L. 133-3 of the French Commercial Code. Delivery periods are given for guidance only; delay may give rise to cancellation of the order or compensation only if it exceeds [durée – à compléter].
Warranties: the warranty against hidden defects under Articles 1641 et seq. of the French Civil Code applies within the limits permitted between professionals. The commercial warranty provided for in Article 12 benefits the Business Customer and, where applicable, its end customer, under the conditions of the warranty certificate. Liability: except in the case of gross negligence or wilful misconduct and excluding personal injury, the Seller's liability to a Business Customer is limited to direct and foreseeable damage and capped at the amount of the relevant order excluding VAT; it excludes indirect losses such as operating losses or loss of turnover or customers [à faire valider].

The competent mediator is: [Médiateur de la consommation – à désigner : nom, adresse postale, site internet].
The European online dispute resolution platform previously provided for by Regulation (EU) No 524/2013 was abolished by Regulation (EU) 2024/3228 and has not been accessible since 20 July 2025; it is therefore no longer referred to [à vérifier]. The Consumer may also refer the matter to a court-appointed conciliator (conciliateur de justice) or to the competent court.
